• making certain representations and warranties, as further described in terms and service, and

“Company” or “Employer” By clicking the "I AGREE" checkbox on the Employer Registration form and registering with the MyZoox.com Web Site, You are designating Yourself as a "Employer” or "Company" are looking for professionals/Service Provider to perform a specific set of services on a part/full time and/or consulting basis.
“MyZoox.com” constitutes any and all elements, content and the look and feel of the website available under the URL, http:// MyZoox.com. “Registered User” Means all individuals or entities who have registered through the MyZoox.com Web Site.

• We represent and warrant that the services provided hereunder are provided "as is," where is, and without any warranties or conditions (expressed or implied, arising by statute or otherwise in law or from a course of dealing or usage or trade). We make no representations or warranties, of any kind (either express or implied) including without limitation the implied warranty of non-infringement, as to the quality, identity or reliability of any registered user or third party, or as to the accuracy of the made on the web site by any registered use.

MyZoox Billing and Payment Service (the "Payment Service") is proposed for business only not for the social networking.

To pay for Services using the Payment Service, You must be a Member that holds a valid credit card issued by a bank acceptable to MyZoox or a Member that holds a verified PayPal account. Accounts

For Employers: MyZoox Account may be used to pay Service Providers,

• To pay Project posting fees. Please note that You should have sufficient funds to pay for a particular transaction as a whole.
• Partial payments are not allowed.
• And to add funds to your MyZoox account you can use automatic clearing house transfer (ACH), Check and Wire transfers.
• If You wants to upgrade a project listing as a “Featured” or “Urgent” project, then You have to pay $5 & $10 respectively.

Currency

• The Payment Service operates in US Dollars and MyZoox is not responsible for currency fluctuations that occur when billing or crediting a credit or debit card denominated in a currency other than US Dollars.

Authorized Payments are Final

• Your use of the Payment Service constitutes Your agreement to pay for any amounts which You authorize us to charge against Your Account and, as appropriate, Your credit card, bank account, or PayPal. Such payments, once authorized, ARE FINAL.

Reservation of Rights

• MyZoox reserves the right to ask for reimbursement from any Service Provider and You will reimburse MyZoox for erroneous or duplicate transactions or receives a charge-back from any Employer's credit card company, bank, or PayPal for any reason.
• You acknowledge and agree that MyZoox has the right to obtain such reimbursement by charging Your Account, deducting amounts from future payments or withdrawals, charging Your credit card, or obtaining reimbursement from You by any other lawful means.
• Note: Failure to pay for reimbursements of charge backs is cause for termination of your Account.

Disputes between Clients and Providers

• If any dispute is arise between the Employer and Service Provider regarding the payment you agree to follow the Dispute Resolution Process. You further acknowledge that Myzoox will not be a party to any such dispute.

At any time after awarding a project or availing services, Employer instructs MyZoox to pay a Service Provider using the Payment Service, the Employer hereby agrees and understands that such instruction to pay Service Provider assure:

(1) That Employer has inspected the work and the Service Provider has completed the applicable Provider Services fully and satisfactorily;
(2) Employer's final acceptance of the Provider Services; and
(3) Employer's irrevocable instruction to MyZoox to pay the Service Provider. For any reason whatsoever, once MyZoox has paid funds to the Service Provider, Employer agrees NOT to ask its credit card company or bank to charge back any amount to MyZoox .

Emoployer hereby agrees that his/her any act infringing this section makes MyZoox eligible to pursue a legal action in the jurisdiction of Employer. Employer hereby agrees to repay MyZoox for such amounts, plus reasonable attorney fees and costs of collection.

Subject to the previous paragraph, neither MyZoox.com nor its directors, officers, agents or employees shall be responsible for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or any other damages whether arising under contract, warrantee, or tort ( including negligence or strict liability) or any other theory of liability whatsoever (including without limitation, damages for loss of business or loss of profits), arising in contract, tort or otherwise from the use or inability to use this site.

You are entirely responsible for maintaining the confidentiality of Your password and User account. Furthermore, You are entirely responsible for any and all activities, which occur, under Your user account. You agree to indemnify, hold harmless and, at the MyZoox.com option, defend the MyZoox.com and its affiliates, and their officers, directors, employees, shareholders, agents and representatives from any and all third party claims, liability, damages and/or costs (including, but not limited to, reasonable lawyer’s fees and expenses) arising from Your use of MyZoox.com sites or our services, Your violation of the Terms and Conditions of Use, or Your infringement, or the infringement or use by any other user of Your account, of any intellectual property or other right of any person or entity. You agree to immediately notify us of any unauthorized use of Your user account or any other breach of security known to You.

• After creating an account, MyZoox Charge $12 per/months for the categories chosen by You.
• MyZoox charge a 10% transaction fee to the service provider if they do not have a membership subscription with us & 5% transaction fee for service providers that do.
